Interim order in the matter of Sunshine Infrabuild Corporation Limited

Shri S Raman, Whole Time Member, Securities and Exchange Board of India (SEBI), has passed an order dated April 01 ,2015 in the matter Sunshine Infrabuild Corporation Limited , inter-alia directing that the company shall not mobilize any fresh funds from investors. Further, the company and its directors are prohibited from issuing prospectus or any offer document or issue advertisement for soliciting money from the public for the issue of securities, in any manner whatsoever, either directly or indirectly, till further orders. The company and its directors are also restrained from accessing the securities market and further prohibited from buying, selling or otherwise dealing in the securities market, either directly or indirectly, till further directions.
 
The Company and its directors have further been directed to provide a full inventory of all its assets and properties and have also been directed not to dispose off any of the properties or alienate or encumber any of the assets owned/acquired by them through Offer of Non Convertible Debentures without prior permission of SEBI.
 
The company and its directors have also been directed not to divert any funds raised from the public through offer of Non Convertible Debentures which are kept in the bank account(s) or custody of Sunshine Infrabuild Corporation Limited. Sunshine Infrabuild Corporation Limited shall furnish complete and relevant information from 21 days of the date of receipt of this order which shall include information regarding repayments made to the holders of Secured and Unsecured Redeemable Non- Convertible Debentures including name of debenture holders, address , amount mobilized , number of Secured and Unsecured Redeemable Non- Convertible Debentures issued, promised maturity amount with the date of maturity, amount refunded and date thereof.
 
Further The Debenture Trustee, viz. HR Trustee Company Private Limited, is prohibited from continuing with its present assignment as a debenture trustee in respect of the Offer of Non Convertible Debentures of Sunshine Infrabuild Corporation Limited and also from taking up any new assignment or involvement in any new issue of debentures, etc. in a similar capacity, from the date of this Order till further directions.
