Consent Order on the application submitted by M/s. DISA Holding II A/S and M/s. DISA Holding A/S in the matter of M/s. DISA India Limited
A Panel consisting of Whole Time Members, SEBI, Dr. K. M. Abraham and Shri Prashant Saran, has passed a consent order dated December 27, 2010 in accordance with SEBI Circular dated April 20, 2007 for consent orders, on the consent application submitted by M/s. DISA Holding II A/S and M/s. DISA Holding A/S for non-compliance with the provisions of Regulation 3(3) and 3(4) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 in respect of indirect acquisition of 74.27% of the total share capital of M/s. DISA India Limited made on January 5, 2007.
The applicants without admitting or denying guilt have remitted a sum of Rs.5,00,000/- (Rupees Five Lakh only) towards the settlement charges in the matter.
