Order in the matter of M/s Green India Infra Projects Limited.

Shri Prashant Saran, Whole Time Member, Securities and Exchange Board of India (SEBI), has passed an order dated March 04, 2015 in the matter of M/s Green India Infra Projects Limited directing inter-alia that the company and its promoters/directors are restrained from mobilizing funds from investors and that the company and its promoters/directors are prohibited from issuing prospectus or any offer document or issue advertisement for soliciting money from the public for the issue of securities, in any manner whatsoever, either directly or indirectly, till further orders.

The Company and its promoters/directors have further been directed not to dispose off any of the properties of the Company or alienate the assets acquired/created through the funds raised from public by issuance of the impugned Secured Optionally Convertible Debentures and not to divert any funds raised from public at large through the issuance of the impugned Secured Optionally Convertible Debentures, kept in its bank accounts and/or in the custody of the company without prior permission of SEBI, until further orders.

The company was engaged in fund mobilizing activity through issue of Secured Optionally Convertible Debentures to more than 49 persons without complying with the provisions of the Companies Act, 1956.
