Consent Order on the applications submitted by M/s. Agro Dutch Industries Limited, M/s. Penta Homes Private Limited
and M/s. Vishwa Calibre Builders Private Limited, in the matter of M/s. Agro Dutch Industries Limited

1. Non-compliances by M/s. Agro Dutch Industries Limited (Target Company) with the provisions of:
   1. Regulations 6(2) and 6(4) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 1997(hereinafter referred to as the Takeover Regulations).
   2. Regulation 7(3) of the Takeover Regulations for the years 2005, 2006, 2007, 2008 and 2010 relating to disclosure to be made to stock exchanges on the change in shareholding pattern.
   3. Regulation 8(3) of the Takeover Regulations for the year 2009 relating to annual disclosure to be made to stock exchange on the shareholding pattern.
2. Non-compliances by M/s. Penta Homes Private Limited and M/s. Vishwa Calibre Private Limited in regard to the acquisition of shares of M/s. Agro Dutch Industries Limited, with the provisions of :
   1. Regulation 7(1) for the year 2008 and 2010 and regulation7(1A) for the years 2007 and 2008 of the Takeover Regulations.
   2. Regulation 7(1) for the year 2008 and regulation7(1A) for theyears 2005 and 2008 of the Takeover Regulations.

M/s. Agro Dutch Industries Limited, M/s. Penta Homes Private Limited andM/s. Vishwa Calibre Private Limited, without admitting or denying guilt have remitted a sum of Rs.55,000/- (Rupees fifty five thousand only), Rs.2,00,000/- (Rupees two lakh only) and Rs.3,00,000/- (Rupees three lakh only), respectively towards the settlement charges in the matter.
